DIGITAL FRONTIERS ASSOCIATION CODE OF CONDUCT

Introduction

Staff, members of (Digital Frontiers Association) DFA are expected to act lawfully, honestly, ethically, and in the best interests of the Association while performing duties on behalf of DFA. This code provides some guidelines for business conduct required of DFA Personnel. This code applies to all Personnel, including members of the board of directors (in connection with their work for Staff, members of (Digital Frontiers Association) DFA. This code is subject to change and may be amended, supplemented or superseded by one or more separate policies.

If any part of this code conflicts with local laws or regulations, only the sections of this code permitted by applicable laws and regulations will apply. Any policies that are specifically applicable to your jurisdiction will take precedence to the extent they conflict with this code.

Conflict of Interest

Staff, members of (Digital Frontiers Association) DFA Personnel are expected to use their judgment to act, always and in all ways, in the best interests of DFA while performing their job duties. As such, Staff, members of (Digital Frontiers Association) DFA Personnel should attempt to avoid actual or apparent conflicts of interest. A conflict of interest exists when personal interests interfere with the best interests of Staff, members of (Digital Frontiers Association) DFA. For example, a conflict of interest may occur when members personal interests compromise their position and interests of DFA.

Similarly, Staff and members of (Digital Frontiers Association) DFA may not use their position to request personal benefits for yourself or your family members. A conflict of interest may also arise from
personal relationships with a customer, supplier, vendor, competitor, business partner, or other Staff, members of (Digital Frontiers Association) DFA Personnel, if that relationship impairs or may be perceived to impair the members objective business judgment.

Harassment

Staff, members of (Digital Frontiers Association)DFA does not tolerate unlawful harassment or any mistreatment by or of workers (including individual contributors, members), guests, clients, or agency partners in the workplace or in a work related situation on the basis of sex, race, color, nationality, ethnic or national origin, ancestry, citizenship, religion (or belief, where applicable), age, physical or mental disability, medical condition, sexual orientation, veteran status, marital status, genetic information or characteristics (or those of a family member), or any other category protected under applicable local law. If there is suspicion that harassment, discrimination, or retaliation has occurred, members and staff are encouraged, to promptly provide a written or oral complaint to DFA committee.

Communications

All business records and communications (including email, texts, staff, members of (Digital Frontiers Association) DFA Messages, and instant messages) should be are clear and accurate. Please remember that all business communications may be shared or become public through litigation, government investigation, or publication in the media. Potential risks from inaccurate or misleading statements include claims of false advertising, misrepresentation, breach of contract, securities fraud, unfair disclosure, and antitrust violations.

Thorough consultations must be made with the DFA Committee before making formal statements or providing information about staff, members of (Digital Frontiers Association) DFA, products, or our business and Staff, members of (Digital Frontiers Association) DFA Personnel to journalists, bloggers and industry analysts through any public forum (such as a tradeshow or conference or your staff, members of (Digital Frontiers Association) DFA profile).

No member or staff may not give an endorsement or other statement on behalf of staff, members of (Digital Frontiers Association) DFA or personal endorsement that identifies any affiliation with staff, members of (Digital Frontiers Association) DFA, except when approved by the DFA committee. In addition, no member or staff may not discuss other staff, members of (Digital Frontiers Association) DFA’s business, including financial condition, business or financial performance, products, or business prospects with financial analysts or actual or potential investors without the prior approval from the DFA committee. All requests for a representative of staff, members of (Digital Frontiers Association) DFA to participate in a financial conference (including speaking on a panel or attending a dinner or any event that targets
the financial community) must be referred to the DFA committee. If any such analysts or

Public Disclosures

Members, Staff of (Digital Frontiers Association) DFA are committed to the transparency and integrity of any

Communications. Our committee is responsible for ensuring that the disclosure in staff, members of (Digital Frontiers Association) DFA’s periodic reports is full, fair, accurate, timely, and understandable.

Financial Integrity and Responsibility

Members and Staff of (Digital Frontiers Association) DFA Personnel are expected to act responsibly and exercise sound judgment with respect to matters involving company finances. If, in the course of their duties, you spend money, enter into contracts, or maintain financial records on behalf of staff, members of (Digital Frontiers Association) DFA, with respect to such duties must keep accurate and complete records, submit accurate and complete reports as required, comply with staff, members of (Digital Frontiers Association) DFA’s system of internal controls, and ensure
compliance with applicable legal and regulatory requirements.

Confidential Information

 (Digital Frontiers Association) DFA’s confidential business information is an asset that everyone must protect. Staff, members of (Digital Frontiers Association) DFA Personnel is required to use confidential information of staff, members of (Digital Frontiers Association) DFA for business purposes only and must always keep such information in strict confidence. This responsibility extends to confidential information of third parties that have received under non-disclosure agreements. Confidential information includes, without limitation, proprietary data, trade secrets and know-how such as software and product designs, product plans, inventions, laboratory
notebooks, processes, designs, drawings, engineering, customer lists, employee data (other than your own),
financial information, budgets, pricing, business plans, or other business information.

Note that this code is not intended to restrict an employee’s legal right to discuss the terms and conditions of his/her membership/employment

Protection of User Data and Personnel Data

Depending on the role of staff, members of (Digital Frontiers Association) DFA, one may have access to information Systems or tools that enable them to view
certain information relating to users (including coworkers, as well as registered and non-registered
individuals), which would otherwise not be visible to you. These tools are important and necessary to enable them to
perform their work effectively. However, it is of the utmost importance that all staff, members of (Digital Frontiers Association) DFA Personnel treat this data
access with extreme sensitivity and caution, and only access this data to the extent it is required for selected members to do their
job. This data is confidential and subject to privacy protections in many jurisdictions. Staff, members of (Digital Frontiers Association) DFA’s brand and the trust users put in the association depends on members responsible use of tools that allow members to view user information that would
otherwise not be visible to them. Please read the User Data Access Policy, available on the wiki, which governs the association.

Compliance with Laws

Staff, members of (Digital Frontiers Association) DFA Personnel are expected to act within the bounds of applicable laws, rules and regulations of Uganda as well as other countries as a representative. The application of these and other laws can be complex and fact-dependent. If members have any
questions about the applicability of interpretation of any law, rule or regulation, they should contact the Executive committee and Legal
Department.

Reporting Violations

If members learn about or suspect a violation of this code, another Staff, members of (Digital Frontiers Association) DFA policy, or any law, shall promptly report it to DFA committee

Policy Prohibiting Retaliation

It is against Staff, members of (Digital Frontiers Association)DFA policy (and may be unlawful) for any Staff, members of (Digital Frontiers Association)DFA Personnel to retaliate against any person for reporting what he or she believed in good faith to be a violation of this code, expressing an intent to report what he or she believed in good faith to be a violation of this code, assisting other Staff, members of (Digital Frontiers Association)DFA Personnel to report a violation of this code, or participating in any investigation pursuant to this code.

Amendment and Waivers

Any amendment or waiver of any provision of this code must be approved by DFA committee. Any waiver or modification of this code by DFA committee will be promptly disclosed to members as required by applicable law
